Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of Fridgeful, including the Fridgeful mobile application, website, features, content, and related services (collectively, the “Service”). Fridgeful, including the app and related services, is owned and operated by NANOFILING LLC (“NANOFILING,” “we,” “us,” or “our”). By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Fridgeful is an AI-powered kitchen and nutrition companion available on iOS. The Service allows you to:

• Track fridge and pantry inventory by photographing or manually entering items
• Receive AI-generated meal, recipe, and grocery recommendations based on available ingredients
• Analyze the nutritional content of meals via photo, text, or related input
• Create, manage, and sync grocery shopping lists
• Log daily food intake and track calories, macros, nutrition scores, and other nutritional goals
• Track food freshness, expiration dates, and household food planning information

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Eligibility and Account Registration

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent’s or guardian’s permission to use the Service. By creating an account, you represent that all information you provide is accurate and complete, and that you will keep it up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at owner@nanofiling.com if you suspect unauthorized access to your account.

4. User Content

You may submit photos, ingredient data, meal logs, grocery lists, household food information, and other content (“User Content”) to the Service. You retain ownership of your User Content. By submitting User Content, you grant NANOFILING LLC a non-exclusive, worldwide, royalty-free license to use, store, process, analyze, and display your User Content solely for the purpose of operating, maintaining, protecting, and improving the Service.

You represent and warrant that you own or have the necessary rights to submit your User Content, and that it does not violate any third-party rights or applicable law.

5. AI-Generated Content and Nutritional Information

The Service uses artificial intelligence, automated algorithms, and related systems to identify food, generate meal recommendations, estimate nutrition, produce recipes, suggest groceries, and provide other information. AI-generated content may be inaccurate, incomplete, delayed, or inappropriate for your circumstances. You should independently verify AI-generated information before relying on it.

AI-generated nutritional information is an estimate and should not be relied upon for medical, dietary, clinical, or safety-critical purposes. You are solely responsible for evaluating meal suggestions, ingredient substitutions, nutritional estimates, calorie counts, and grocery recommendations based on your own dietary needs, allergies, health conditions, and personal circumstances.

6. Health, Food Safety, and Eating Disorder Notice

The Service is provided for informational, convenience, and entertainment purposes only. It is not a medical device, and nothing in the Service constitutes medical, nutritional, dietetic, mental health, or other professional health advice, diagnosis, or treatment. NANOFILING LLC is not a healthcare provider and does not provide medical advice. We do not employ or contract with licensed healthcare professionals to provide advice through the Service.

Always seek the guidance of a qualified healthcare professional with any questions you may have regarding your health, diet, nutrition, allergies, food restrictions, eating patterns, or medical condition. Never disregard professional medical advice or delay seeking it because of something you read, saw, or received through the Service.

The Service may track food expiration dates, estimate freshness, or provide information about food shelf life. This information is a general convenience only and is not guaranteed to be accurate, complete, or reliable. You are solely responsible for inspecting all food items, evaluating allergens and ingredients, following food safety practices, and determining whether food is safe to prepare or consume.

Calorie counting, macro tracking, nutrition scores, and nutrition monitoring may not be appropriate for individuals with a history of or predisposition to eating disorders, including anorexia nervosa, bulimia nervosa, binge eating disorder, orthorexia, or related conditions. If you have or suspect you have an eating disorder or if nutrition tracking causes distress, consult a licensed mental health professional or qualified healthcare professional before using these features.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
• Use automated scripts, bots, scrapers, or similar tools to extract data from the Service
• Submit content that is harmful, offensive, deceptive, unlawful, or violates third-party rights
• Interfere with or disrupt the integrity, security, availability, or performance of the Service

8. Intellectual Property

All rights, title, and interest in and to the Service, including its software, design, branding, AI systems, models, workflows, and Service-generated content, are owned by or licensed to NANOFILING LLC. Nothing in these Terms grants you any right to use our trademarks, logos, brand elements, or other intellectual property without our prior written consent.

9. App License

Subject to these Terms, NANOFILING LLC grants you a limited, personal, non-exclusive, non-transferable, revocable license to download, install, and use the Fridgeful mobile application on devices you own or control, solely for your personal, non-commercial use and as permitted by applicable App Store terms and usage rules.

You may not copy, modify, distribute, sell, lease, sublicense, reverse-engineer, or create derivative works from the app or any part of the Service except to the extent applicable law prohibits such restrictions. Apple’s App Store terms and policies may also apply to your download, purchase, and use of the app.

10. Subscriptions and Payments

Certain features of the Service may be offered on a subscription or paid basis. Subscriptions and in-app purchases are processed through Apple’s App Store, and billing, refunds, renewals, cancellations, and subscription management are governed by Apple’s terms and policies. You can manage or cancel your subscription through your Apple ID account settings at any time.

Prices, trial availability, subscription terms, and feature availability are subject to change. We will provide reasonable notice of material pricing changes where required by law or platform rules.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, FOOD SAFETY, NUTRITIONAL ACCURACY, HEALTH OUTCOMES, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, SECURE, AVAILABLE, OR FREE OF HARMFUL COMPONENTS.

12. Assumption of Risk and Limitation of Liability

By using the Service, you expressly acknowledge and agree that your use of the Service and any reliance on information provided by the Service is at your sole risk. You assume full responsibility for any decisions you make based on information provided by the Service, including decisions related to food consumption, groceries, nutrition, diet, health, and household food planning.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NANOFILING LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY FOOD SAFETY INCIDENT, ILLNESS, INJURY, ALLERGIC REACTION, OR OTHER HARM RELATED TO FOOD TRACKED, SUGGESTED, IDENTIFIED, OR PREPARED USING THE SERVICE; (C) ANY HEALTH OUTCOME, ADVERSE REACTION, OR MEDICAL CONDITION ARISING FROM YOUR RELIANCE ON INFORMATION PROVIDED BY THE SERVICE; (D) ANY INACCURACY IN AI-GENERATED CONTENT, NUTRITIONAL ESTIMATES, CALORIE COUNTS, MACRO BREAKDOWNS, OR FOOD IDENTIFICATION; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED ZERO DOLLARS (USD $0).

13. Indemnification

You agree to indemnify, defend, and hold harmless NANOFILING LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your User Content, your reliance on Service-generated information, your violation of these Terms, or your violation of any rights of any third party.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by deleting the app and requesting account deletion at owner@nanofiling.com. Upon termination, your right to use the Service ceases immediately. Any provisions that by their nature should survive termination, including Sections 4, 5, 6, 8, 11, 12, 13, and 15, survive termination.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

You and NANOFILING LLC agree to waive any right to a jury trial or to participate in class action litigation.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the effective date above and, where appropriate, by website notice, email, or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
